1. In accordance with the terms and conditions described here, by these means I submitted my request to be an independent distributor (referred as "distributor") of Maximo Natural Products Inc. (referred as the "Company or MNP") and compensation plan and in multilevel marketing (referred as "MLM").

2. The distributor accepts and recognizes that the rules and procedures of MNP as MLM are part of the terms and conditions of this contract either in its current form or in the future are modified by MNP in its sole discretion. The term "Contract" in this document refers to this distributor application and to the policies and procedures of the MLM of MNP.

3. This contract is valid 12 months from the date of acceptance by the company. The company will receive any of these forms of enrollment: an original hard copy, a copy sent by fax or via email or simply you can go online membership process and accept the terms and conditions and you’re officially enrolled.

4. Once accepted this request, I understand that I will be a distributor for the company and that I will be eligible to participate in the sale and distribution of products and services of the company and I will get profit and/or commissions in connection with such sales in accordance with the rules and procedures. While as a promoter I am a candidate to participate in the services of the company, and could obtain royalties on the basis of my development as a promoter in accordance with the rules and procedures to the compensation plan of MNP.

5. I understand that I will be a independent distributor; not an agent, employee or owner of a franchise of MNP. I UNDERSTAND AND AGREE THAT I WILL NOT BE TREATED AS AN EMPLOYEE OF THE COMPANY FOR TAX PURPOSES. I understand and agree that I will pay all applicable taxes, taxes for those who are self-employed, sales tax, local taxes and/or fees for local licensing that I have to pay as a result of my activities under this agreement, as was noted by the tax administration of the entity where I am working.

6. I understand and agree that my remuneration as a distributor shall consist only in the purchase or sale of products of MNP and sales of these to the public. As a distributor I undertake to comply with paying the necessary taxes as was noted by the Administration Taxation of the entity that I am part of. As a promoter I receive commissions by the mere fact of enrolling others to the program according to the compensation plan within MLM Company and I would say to other people that it is possible to receive commissions simply by registering others in the program according to the compensation plan of MLM within MNP.

7. I agree that as a distributor I will execute my activities in legal form, with ethics and morals, and I will make every effort to promote the sale and the use of the services and/or products offered by the company to the general public. I understand that as a distributor my conduct must be in harmony with the public interest and that I will avoid any inappropriate practice, misleading, false or lack of ethics. In addition, I agree to obey all federal, state, and local laws, governing the operations of the business of MNP.

8. I understand and agree that all purchases made in the company of MNP are final purchases (there is no cash/store credit refund). The company MNP will exchange a product, if it is defective from manufacturing, and the refund will be in exchange for another new product of equal value. I am responsible for the shipping and handling of the defective product. The company MNP will not replace product, if there has been a violation of the security seal. 9. I understand, accept and acknowledge that I am not guaranteed any income, nor does it assure me any revenue or success. I am free to set my own schedule and to determine my own premises and methods of sales, within the guidelines and requirements of the agreement. I am responsible for my own business expenses in connection with my activities as a distributor.

10. I accept and acknowledge that neither the company nor my sponsor have done any assertion or insinuation of guaranteed returns, or representations of expected gains that could be the result of my efforts as a distributor. I was not forced to be part of MNP and my success as a distributor comes from retail sales and the development of my network marketing.

11. I understand and agree that I will not make statements, disclosures or representations through the sales of goods and services of MNP or the sponsoring to other potential prospects, other than those contained in the literature approved by MNP.

12. If I sponsor other distributors or promoters, I agree to perform the functions of supervision, distribution, sales and training of good faith in connection with the sale of the company's products and services to the end user.

13. I understand and agree that MNP can make modifications to the contract in its sole discretion, and I will have to abide by all changes immediately. All changes to the contract will be valid on the date of their publication in the official literature of MNP. The continuation of my business with MNP will depend on my acceptance of any and all modifications that have been made.

14. I understand that my acceptance of this contract does not constitute the sale of and/or purchase of a franchise, that there are no territories exclusive granted to any person and there has not been any franchise fees, nor that I bought my way or any participation in currency, in value or certificates of credit by the acceptance of this contract.

15. As distributor I cannot yield any right, nor delegate any responsibility originated under this contract without the prior consent is writing of MNP. Any assignment or delegation not authorized by the company shall be canceled.

16. The term of this contract is one year. There is an annual renewal fee to be paid on the anniversary date of the contract. All renewals are subject to the acceptance of the company, and for this, MNP will consider whether the distributor has met all "responsibilities" with "loyalty" to all company policies, and the distributor is operating business in an ethical fashion in accordance with the image and the professional nature of MNP. The lack of renewal will be the cancellation of the contract.

17. I agree to indemnify and hold harmless the Company of each and every one of the claims toward my person, damages and expenses, even legal fees, arising from my actions or misrepresentation to the company. This contract shall be governed according to the laws established in the entity where the violation or violations were committed.

18. The parties agree that all matters relating to the interpretation, application and enforcement of the contract shall be within the jurisdiction of the courts in the entity where the violation of this contract were committed, regardless its present or future address.

19. I accept that for any violation or breach of any term or provision of this agreement, I can be sanctioned commercially, as specified in the policies and procedures, at the discretion of MNP. Once you have successfully canceled voluntarily or involuntarily this contract, I accept that I will lose and waiver any or all of the my rights, Including the right on any bonus, commission or other compensation resulting from the sales generated by myself or by the compensation plan of the MLM of MNP.

20. I ratify and accept that the number that appears in this form is my identification number of Maximo Natural Products Inc. I also ratify and accept that my address and other personal data appear in the adverse of this document.

21. The company shall be entitled to deduct and to compensate against my commissions, bonuses, royalty, or any other money that I need to pay any amount due and not paid for purchases of products and services of the company, or any other amount that I should to MNP.

22. I am responsible to pay $ 35.00 dollars and other charges generated by writing checks without funds or Non-sufficient funds (NSF).

23. I have read this contract, and I acknowledge that I have received the entire reference documents, and I agree to fulfill the terms and conditions on this contract.

24. Resignation or abandonment of any right to MNP in relation to any violation of this contract must be written and signed by a legal representative of Maximo Natural Products Inc.

25. I certify that I am over the age of 18 or 21 years of age (as required by the law of the state where I reside). I have carefully read the terms and Conditions that appear at the back of this application, the rules and procedures of the marketing plan and compensation of Maximo Natural Products Inc., and I agree and understand all the terms and conditions set out in this document.

A PARTICIPANT IN THIS PLAN OF NETWORK MARKETING AND COMPENSATION HAS THE RIGHT TO CANCEL AT ANY TIME, REGARDLESS OF THE REASON. THE CANCELLATION MUST BE SUBMITTED IN WRITING TO THE OFFICES OF THE COMPANY WITHIN THE (3) THREE OPERATING DAYS AFTER THE DATE OF THIS TRANSACTION. AT THE SAME TIME THE COMPANY HAS THE SAME RIGHT TO CANCEL ITS SUBSCRIPTION WITHOUT ANY MONETARY CHARGE, EXCEPT FOR THE COST OF HANDLING AND SHIPPING OF THE PRODUCT. AFTER MIDNIGHT OF THE THIRD DAY, ALL CHARGES SHALL APPLY INCURRED BY THE PURCHASE. THE COMPANY CAN PERFORM THE CANCELLATION WITHOUT NOTICE IF YOU DO NOT COMPLY WITH THE TERMS AND CONDITIONS WRITTEN IN THE BACK OF THIS APPLICATION. I accept and agree to the terms and conditions of the company described above MNP. At the same time if you do not purchase the minimum of $10.00 dollars in products per month, you automatically do not qualify for your bonus within the program of MLM Company of the Maximo Natural Products Inc.
